Google Adwords & Meta Ads Agreement

DIGITAL ADVERTISING & MARKETING SERVICES AGREEMENT

This Agreement is made between Mark Gonzales Consulting (DBA - On The Mark Digital) (“the Company”) and (“the Customer”).

Monthly Pay Per Click (PPC) Advertising Management Subscription Plan Prices:

  • Google AdWords Management Fee: $599 per month
  • Meta Ads Management Fee: $599 per month
  • Recommended Ad Monthly Ad Budget of $600-$4999 per month, per platform. 

Recitals The Company has expertise in developing and managing Pay-Per-Click (PPC) Advertising campaigns on Google AdWords and Meta platforms. The Customer wishes to engage the Company for PPC Advertising Management Services as specified herein.

Agreements In consideration of the mutual covenants outlined in this Agreement, the Customer and Company agree as follows:

  1. Development of PPC Advertising Strategy: The Company agrees to create, manage, and optimize PPC advertising campaigns on Google AdWords and Meta platforms as per the terms detailed herein.

  2. Service Specifications: The Company will develop and manage PPC campaigns for the Customer’s designated URL(s), using strategies and techniques considered most effective for PPC advertising.

  3. Service Duration and Cancellation Policy:

    • This is a 90-day contract, after which it will roll over to month-to-month terms.
    • Services under this Agreement will commence on the start date below and continue for a total of 3 months, at which time the agreement will roll over into a month-to-month agreement, until cancellation by either party as outlined in this Agreement.
    • The Customer agrees to pay the monthly management rate for a minimum of 3 months from the Start Date.
    • Cancellation post 3 months will require a written 30-day notice of cancellation and must be communicated via email to help@onthemarkdigital.com. 
    • The Company reserves the right to cancel the recurring services for non-payment. If services are canceled by the Company, due to non-payment within the first 90 days of this agreement, the remaining balance of the 3-month agreement Company will be due.Pricing and Payment: The Customer acknowledges that the Company reserves the right to adjust pricing terms on a month-by-month basis. Payments are due on the billing day of each month for the duration of the agreement.

  1. Customer's Representations and Indemnification:

    • The Customer represents that any provided artwork, graphics, or other intellectual property does not infringe on the intellectual property rights of any person or entity.
    • The Customer agrees to indemnify and hold the Company harmless from any claims arising from the use of Customer-provided materials, including attorney's fees.

  2. No Performance Guarantees and Entire Agreement:

    • The Company makes no guarantees of performance, results, or quality.
    • The terms in this Agreement constitute the entire understanding between the Company and Customer, superseding all prior representations or negotiations.
    • This Agreement can only be amended by a signed written agreement by both parties.

  3. Governing Law and Dispute Resolution:

    • Any dispute arising out of this Agreement will be governed by the laws of the State of California.
    • Venue and jurisdiction for disputes shall be in the Sonoma Superior Court in and for Sonoma County, California.
    • The initial process may be served via electronic mail and certified mail.
    • Parties waive their right to a trial by jury for any triable issues.
    • No refunds will be issued by the Company.

  • Our team will blueprint a complete Ad Build in your ad account
  • Our strategist will create offers that demand action
  • Our copywriters will create variations of ad copy that convey the value
  • Our graphic designers will create variations of images and videos that depict value
  • Our Integrations team will create a custom CRM with shared access
  • Our Integrations team will set up automated text & email campaigns
  • Our Media Buyers regularly optimize the campaigns to increase action volume and quality
  • Our account managers regularly connect with clients to improve customer service & client retention
  • Reporting is done in "Real-Time" via Google Data Studio

Exhibit B: Payment Agreement

  • The 1st payment of $1198 will be processed before work is performed
  • Payments are collected via credit card (Visa, Mastercard, Discover, Amex) or bank debit card and stored in a secure third-party credit card processor.
  • Future monthly payments are automatically charged on the same day of the month as the original payment. In the event of a due date landing on a date outside of a given calendar month, the billing date will be processed on the last day of the given month.
  • The additional monthly ad budget will be discussed with your project manager and will be set into Google Adwords and the Meta Ad Platform, using the credit card provided in the credit card authorization form below.

To facilitate seamless and secure transactions for the services provided, kindly complete the information fields below. This authorization enables Mark Gonzales Consulting (DBA - On The Mark Digital) to process payments for your chosen services via the credit card details provided.

Please be aware of the following terms associated with this authorization:

  1. Authorization: By providing your credit card details and signing this agreement, you authorize Mark Gonzales Consulting (DBA - On The Mark Digital) to charge your credit card for agreed-upon purchases as outlined in this agreement.

  2. Cancellation of Authorization: You retain the right to cancel this credit card authorization at any point. To cancel, please send a written notice of cancellation via email to help@onthemarkdigital.com. This authorization will remain effective until officially canceled. If within the first 90 days of the agreement, you may request to change the credit card on file only.

  3. Data Security and Confidentiality: Your credit card information will be securely stored and maintained for processing transaction payments about this agreement. Mark Gonzales Consulting is committed to ensuring the confidentiality and security of your financial information.

  4. Acknowledgment: By entering your credit card information and endorsing this agreement, you confirm your understanding and acceptance of these terms, and authorize the use of your credit card for transactions related to the services outlined in this agreement.
